Commercial Licence Agreement

1. Acceptance of Terms

By purchasing, downloading, or using any software product from Moorcam Development ("the Licensor"), you ("the Licensee") agree to be bound by the terms of this Commercial Licence Agreement. If you do not agree to these terms, do not purchase or use the software.

2. Grant of Licence

Upon purchase, Moorcam Development grants the Licensee a non-exclusive, worldwide, perpetual licence to use the software in accordance with the licence type purchased:

• Single Use Licence: The software may be used in one (1) project or for one (1) end product. This may include a personal project, a client project, or an internal business tool.
• Developer Licence: The software may be used in unlimited projects, including commercial products, SaaS platforms, client work, and internal business tools.

3. Permitted Use

The Licensee is permitted to:

• Use the software in commercial and non-commercial projects
• Modify the source code to suit the Licensee's needs
• Integrate the software into larger projects
• Sublicence the software as part of a larger deliverable ( Developer Licence only)

4. Restrictions

The Licensee must not:

• Resell, sublicense, or distribute the software as a standalone product
• Claim authorship of the original software
• Remove or alter any copyright notices or licence text included with the software
• Use the software in a manner that violates applicable laws or regulations
• Share licence keys, download tokens, or access credentials with unauthorised parties

5. Intellectual Property

All intellectual property rights in the software remain the property of Moorcam Development. This licence does not transfer ownership of the software to the Licensee. The Licensee retains ownership of any original work created using the software.

6. Open Source Components

The software may include open source components governed by their respective licences. The presence of open source code does not affect the terms of this Commercial Licence. The commercial licence grants additional rights beyond those provided by the open source licence alone.

7. Support and Updates

Purchasing a licence includes:

• Access to product updates for the version purchased
• Email support for issues related to the software
• Access to documentation and knowledge base

Support does not include custom development, integration services, or modifications to the software beyond its intended functionality.

8. Disclaimer of Warranties

The software is provided "as is" without warranty of any kind, express or implied. Moorcam Development does not warrant that the software will be error free, uninterrupted, or compatible with all systems. The Licensee assumes all risk for the use of the software.

9. Limitation of Liability

To the maximum extent permitted by law, Moorcam Development shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of the use or inability to use the software. In any event, the total liability of Moorcam Development shall not exceed the amount paid by the Licensee for the software.

10. Refund Policy

Due to the digital nature of the software, refunds are generally not provided once the software has been downloaded. If you experience issues with the software, please contact our support team for assistance. Refunds may be considered on a case by case basis at the discretion of Moorcam Development.

11. Termination

This licence is effective until terminated. Moorcam Development may terminate this licence if the Licensee breaches any term of this agreement. Upon termination, the Licensee must cease all use of the software and destroy all copies.

12. Governing Law

This agreement shall be governed by and construed in accordance with the laws of Victoria, Australia. Any disputes arising under this agreement shall be subject to the exclusive jurisdiction of the courts of Victoria, Australia.

13. Changes to This Agreement

Moorcam Development reserves the right to modify this agreement at any time. Changes will be effective upon posting to the website. The licence terms applicable at the time of purchase shall apply to that purchase.
